Terms of Service

In plain words: pay what the site shows, yearly plans renew until you cancel, refunds are set out in section 5, you own your platform and your data, and Ohio law applies.
1. These terms
These terms are an agreement between you and CivOps LLC (“CivOps”, “we”, “us”), a company in Northeast Ohio, USA. They cover civops.io, the CivOps Manufacturing Platform, the CivOps AI Academy courses and the Contractor Operating Platform.
By buying, signing in or using any of them, you agree to these terms and to our Privacy Policy. If you accept for a company, you confirm you may bind it, and “you” means the company.
If you and CivOps sign a separate written agreement (for example, a pilot agreement with success criteria, or an order form), that agreement wins wherever it differs from these terms.
2. Accounts
- Use a work email you control. Academy sign-in is by emailed link, so anyone who can read that inbox can sign in as you; keep it secure.
- An Academy seat is for one named person. The buyer of a team hands seats out; a seat that has not been used can be moved to someone else by writing to us.
- Tell us straight away at info@civops.io if you think someone else has used your account.
- You must be at least 18, or the age of majority where you live, to buy.
3. Buying: prices and ways to pay
- Prices are the ones on our pricing page when you order, in US dollars. Our server sets the price; nothing changed in a browser can alter it. Taxes are extra where they apply.
- Card, including company purchasing cards (P-cards): paid on Stripe's secure page. A purchase order number, if you give one, goes on your receipt and invoice.
- Bank transfer (ACH) from a US business account: your order opens when the payment clears, usually a few business days.
- Invoice against your purchase order: we email an invoice due in 30 days (“net 30”), payable by bank transfer, ACH or card. If an invoice is more than 30 days overdue we may pause the service after telling you.
- Seats and plants: Academy plans are priced per learner, Manufacturing plans per plant (Multi-site from two plants). You pay for the number you choose at checkout; to add more, write to us.
- Paying several years up front: where offered, two years are 10% off and three years 15% off, charged once for the whole term.
- Plans marked “priced on request” are sold by written quote. The Contractor Operating Platform is bought on its own site, at the price shown there.
4. Yearly plans and renewals
- Yearly plans (the Manufacturing Production plans, Multi-site and Portfolio) renew automatically each year at the then-current price, on the card you used or by a new invoice, until cancelled. A monthly plan, where offered, renews monthly the same way.
- If you prepaid two or three years, the plan renews yearly after that term, unless you cancel.
- To cancel, email sales@civops.io before the renewal date. Cancelling stops the next renewal; the service runs to the end of the period already paid.
- We will tell you at least 30 days before a price change applies to your renewal.
- Academy courses are paid once; they do not renew.
5. Refunds
- Academy courses: a full refund if you ask within 14 days of buying and no more than two sessions have been marked finished, for every seat on the order. No refund once a certificate has been issued.
- Ops Maturity Assessment and Pilot: a full refund if you cancel before work is scheduled to start; after that, the written pilot or assessment agreement decides.
- Yearly plans: a full refund if you cancel within 30 days of your first payment. After that, no refunds for part of a year, but cancelling stops the next renewal.
- Years paid up front: if we stop providing the service for a reason that is not your breach of these terms, we refund the unused whole years.
- Refunds go back to the way you paid. Ask at sales@civops.io. Nothing here limits a refund the law gives you.
6. Course licence and certificates
- Buying a course gives each seat holder a personal, non-transferable licence to take it and use what it teaches in their own work and their employer's.
- “Lifetime access” means for as long as CivOps offers the course. If we ever stop, we will give at least 90 days' notice and a way to keep your own work.
- Do not share sign-in links, or copy, resell or republish the course materials. A company may load the SCORM packages we publish for its own staff into its own learning system; that does not permit reselling them or offering them to anyone outside the company.
- What you build is yours. The platform you build in the course runs on your own accounts, and you own it and its data.
- Certificates are issued when you meet the course's stated requirements: every unit check, the homework, the exam and the practical. A certificate shows your name, the course and the date, and anyone can check it by its number. We may withdraw a certificate obtained by cheating or by someone else doing the work.
- A certificate shows you completed our course. It is not a licence, a degree or a government qualification.
7. Acceptable use
Do not use our products or site to:
- break the law, or anyone else's rights;
- break into, probe or overload our systems, or get around the limits we set (including the course assistant's daily limit);
- send spam or harmful code, or impersonate anyone;
- reverse-engineer the products, except where the law allows it;
- build a competing product from our materials.
We may suspend an account that does these things, telling you why unless the law or safety stops us.
8. Our work and yours
CivOps owns the products, the site, the course materials, the CivOps name and logo. You get the right to use them as these terms describe; nothing else is transferred.
If you send us suggestions, we may use them without owing you anything.
9. You own your platform and your data
- Your data is yours. What you or your staff put into the Manufacturing Platform or the Contractor Operating Platform belongs to you. We use it only to provide the service to you, never sell it, and keep each business's data in its own database.
- You can export your data at any time while you are a customer, and for 30 days after you leave. Then we delete it, except what the law makes us keep.
- The Manufacturing Platform can run hosted by us, single-tenant, on an appliance on your plant network, air-gapped or in government cloud. Where it runs on your equipment or accounts, you hold the keys.
- You are responsible for having the right to the data you put in, and for telling your own customers and staff how you use it.
10. Disclaimers
We work hard to make our products accurate and reliable, but we provide them “as is”, without warranties beyond those in these terms or a signed agreement, to the extent the law allows.
Analytics, AI agents and the course assistant suggest; a person decides. Check their answers before acting on them, especially on safety, quality or regulatory matters. The figures and research cited on our site are for information; your results depend on your plant and your team.
11. Limits on our liability
To the extent the law allows:
- neither of us is liable to the other for indirect or consequential losses, such as lost profits, lost production or lost data that a reasonable backup would have saved;
- CivOps's total liability for any claim is limited to what you paid us for the product concerned in the 12 months before the claim.
These limits do not apply to fraud, to death or injury caused by negligence, or to anything else the law does not allow to be limited.
12. Ending the agreement
You can stop using our products at any time, and cancel renewals as section 4 says. We may end these terms for a serious breach that is not fixed within 30 days of our notice, or straight away if the law requires it. Sections that by their nature should last (ownership, payment owed, liability, governing law) continue after the agreement ends.
13. Governing law
These terms are governed by the laws of the State of Ohio, USA. Any dispute goes to the state or federal courts serving Northeast Ohio, and both of us agree to their jurisdiction. Before going to court, we each agree to try to settle it by talking for 30 days. If you are a consumer outside the US, you keep the protections of the law where you live.
14. Changes to these terms
We may update these terms. The date at the top shows the latest version, and every checkout records the version you agreed to. A change that matters applies to you from your next purchase or renewal, and we will email customers at least 30 days before it does.
